Welcome to Sound Capital Finance, LLC. We are an independent, boutique-scale commercial real estate mortgage brokerage serving the Pacific Northwest.
These Terms are the agreement between you and us when we interact before having signed a written brokerage Listing Agreement - for example your use of our website including submitting forms, or when we're in contact like in our Intro call.
By using our Site, sending us your information, or being in contact with us, you agree to these Terms and our Privacy Policy. Please read them - they explain how we work and protect your information.
On this page, Sound Capital Finance, LLC is "SCF", "we", or "us", and site users are referred to as "you". These Terms of Use are referred to as the 'Terms'. The information and web domain at SoundCapitalFinance.com is referred to as the "Site".
We've created these Terms to be clear and easy to read. Do please let us know any feedback.
1. Our Role
Sound Capital Finance, LLC is a commercial mortgage brokerage - we broker business purpose loans secured by commercial and multifamily real estate. We are not a residential mortgage brokerage, nor do we broker loans for personal, family, or household use.
We are not a lender. Nothing on this Site, or any interaction between you and us, creates a lender-borrower relationship between you and us.
2. Commencing Services; Listing Agreement
Visiting our Site or contacting us doesn't make you a client. We can begin representing you only once we both sign a written commercial loan brokerage Listing Agreement.
Any references on the Site or in discussions we may have related to fees, scope of work, other engagement terms, or process timing are illustrative only. The signed Listing Agreement exclusively governs our brokerage engagement - including services, compensation, dispute resolution (including mandatory arbitration), and all other terms. If there is any conflict between the Site or these Terms and the Listing Agreement, the Listing Agreement controls.
3. Scope of Service
Our service is limited to brokering, within scope as defined in a signed Listing Agreement. We are not licensed to provide, and we do not provide, legal, accounting, or any other professional advice. You should not rely on information from us as your sole source of decision-making information and should seek independent professional advice tailored to your circumstances.
4 Informational Purpose; No Offer or Guarantee
Content on this Site is provided for general informational and marketing purposes only. The information here is meant to help inspire exploration of financing options - it isn’t a commitment or guarantee of funding. Actual financing availability, terms, timing, and outcomes depend on the lender, underwriting, documentation, and executed written agreements.
5. Accuracy; Changes; Market Conditions; Scope of Service
We use reasonable efforts to maintain and provide accurate and current information, but we don't guarantee accuracy, completeness, or currency. Market conditions, lender appetite, underwriting practices, and regulatory requirements change frequently.
6. Advertising, Timing, and Outcome Statements
We operate as a broker; we are not a lender. Any loan offer that we may obtain for a client is made by a lender, not by us. Regarding timing, loan decisions and outcomes (such as loan terms, term sheet approval, final approval for funding, loan covenants, or other material loan decisions), the lender making a loan offer retains complete control over these aspects. We do not control these aspects. Any statements we make relating to these aspects are speculative, and you agree not to rely on such statements in any decisions you make.
In this Site or in your interactions with us, any references to timing (for example, term sheets or funding timeframes), pricing, or fee offsets describe possibilities that may occur in some cases; they are not guarantees. Actual timelines and results vary by deal complexity, documentation completeness, lender capacity, and other factors. Any estimate of time to term sheet, funding, or fee impact is illustrative and non-binding.
7. Compensation and Fee Statements
Any description of fees is summary in nature. In event you engage us to broker a financing project, the amounts and the method of payment of brokerage fees will be set forth in a signed written engagement between you and us. In certain transactions, payment of brokerage compensation may be arranged by a lender to be paid at closing from loan proceeds; such arrangements are negotiated case-by-case and are contingent on lender agreement and closing. Nothing on the Site creates an entitlement to any particular fee arrangement absent a signed agreement.
8. Use of Site Forms and Submissions
By submitting a request for contact via the Site, you consent to be contacted by us by phone or email for scheduling and related communications. If you initiate communication with us by SMS messaging you agree we may contact and communicate with you via SMS messaging.
If you provide personal information through a contact or scheduling form on the Site, you agree you are authorized to provide the information and consent to us collecting and using it as described in our Privacy Policy. Submitting a form doesn’t create a confidential or fiduciary relationship. Our brokerage service begins only under a signed agreement.
9. Website Usage
You must be 18 years or older and authorized to seek financing on behalf of your entity. You agree not to misuse the site (e.g., automated scraping, spam, or fraudulent submissions), and to use click-to-call, callback forms, or direct dialing only for legitimate business inquiries. We reserve the right to modify or discontinue site features without notice.
10. Intellectual Property
All Site content - like text, graphics, logos, images, and page layouts - is owned or licensed by us and is protected by copyright, trademark, and other intellectual property laws. You may view and print content for your personal, non-commercial use only. Any other use, reproduction, distribution, or modification without our prior written consent is prohibited.
11. Third-Party Sites, Links, and Lenders
The Site may contain links to third-party websites, platforms, or lender portals. We don't control and are not responsible for the content, accuracy, or practices of third parties. Inclusion of a link does not imply endorsement. Any engagement with a lender or third party is subject to separate terms and lender approval.
12. No Warranties
We aim to keep the Site reliable, but it's provided ‘as is’ and ‘as available.’ While we aim for accuracy, we can’t guarantee the Site will always be error-free or uninterrupted, and it's provided without any warranty, for example for merchantability, fitness for any particular purpose, or non-infringement.
13. Limitation of Liability
We do our best to provide reliable information, but we can’t be responsible for indirect or special losses related to Site use.
To the extent permitted by law, SCF and our affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or reliance on its content, even if advised of the possibility of such damages. Aggregate liability of SCF, our affiliates, licensors, and service providers arising out of or relating to these Terms or the Site shall not exceed the amount of fees actually paid by you to SCF for services during the twelve (12) month period preceding the claim, or, if no such fees have been paid, one hundred dollars ($100).
Some jurisdictions do not permit certain limitations of liability; insofar as local law prohibits these limitations, they may not apply to you.
14. Governing Law and Venue
These Terms are governed by the laws of the State of Washington without regard to conflict-of-laws principles. Except where prohibited by applicable law, you and we agree that any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in King County, Washington.
15. Changes to These Terms
We may update or modify these Terms at any time by posting the revised Terms on the Site. We’ll update the revision date at the top of this page when changes occur. If you continue using the Site more than 30 days after updates are posted, you are deemed to accept the changes.

17. Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement regarding Site use and our interactions with you prior to you and us mutually entering a signed Listing Agreement. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Headings are for convenience only and do not affect interpretation.
